Terms of Use

These Terms of Use (the "Terms") govern access to and use of the GoDeals platform, a customer relationship and sales management software for WhatsApp aimed at merchants (the "Service"), published and operated from Morocco. By creating an account, accessing the Service or using it in any way, you (the "Merchant", "you") agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. Description of the Service

GoDeals is a SaaS ("Software as a Service") platform that allows a merchant to centralize their WhatsApp conversations, manage their orders, customers, product catalog and campaigns, and, where enabled, use an automated AI-based assistant to reply to incoming messages.

The Service relies primarily on the WhatsApp Business API provided by Meta Platforms, Inc. ("Meta"), as well as, depending on the integrations enabled by the Merchant, third-party services such as WooCommerce, Shopify, YouCan, Google Sheets, or AI providers (OpenAI, Anthropic, Meta, OpenRouter). GoDeals does not control these third-party services and is not responsible for their availability, changes, or their own terms of use.

2. Eligibility and Account Creation

The Service is intended for individuals acting for professional purposes and for legal entities carrying out a lawful commercial activity. By creating an account, you represent that you have the legal capacity to enter into a binding contract on behalf of your business.

You agree to provide accurate, complete and up-to-date information when registering, and to keep it up to date. You are solely responsible for the confidentiality of your login credentials and for any activity carried out from your account, including by team members you invite. You must notify us immediately of any unauthorized use of your account.

3. Subscriptions, Free Trial and Billing

GoDeals offers several subscription plans, whose features and pricing are described on our Pricing page. A free trial may be offered for a limited period; upon its expiration, access to certain features may be restricted until a paid plan is subscribed.

Paid subscriptions are billed in advance, according to the chosen billing cycle. Unless otherwise required by law, amounts paid are non-refundable, including in the event of partial non-use of the Service during the paid period. We may change our pricing at any time; any change applicable to an ongoing subscription will be communicated to you with reasonable notice before it takes effect.

Failure to pay may result in the suspension or termination of your access to the Service, after notice.

4. WhatsApp and Meta Compliance

By connecting your WhatsApp Business number to the Service, you agree to comply with Meta's terms of use, the WhatsApp Business Policy, and all rules applicable to message templates, campaigns and customer outreach.

You are solely responsible for the content of messages sent from your account, for ensuring your customers' consent to receive messages, and for any consequence resulting from a breach of these rules, including the suspension or ban of your number by Meta. GoDeals cannot be held responsible for decisions made by Meta regarding your WhatsApp Business account, which remains under Meta's exclusive control.

5. Acceptable Use

You agree not to use the Service to: send unsolicited (spam) or misleading messages; sell illegal products or services; harass, threaten or harm third parties; bypass the Service's technical or security limits; scrape data in bulk; or infringe the intellectual property rights of others.

We reserve the right to investigate any suspected violation of these Terms and to suspend access to the account concerned while the review is ongoing.

6. Your Data, Catalog and Content

You retain full ownership of your business data: product catalog, customer records, order history and conversation content. By using the Service, you grant us a limited, non-exclusive license, necessary to host, process and display this data in order to provide you with the Service, including through our technical subprocessors (hosting, message delivery, AI processing when this feature is enabled by you).

You warrant that you hold the necessary rights over the content you import or publish through the Service (product images, text, customer data), and that you comply with the regulations applicable to the collection of this data from your own customers.

7. AI Assistant and Automatically Generated Content

When you enable the AI-based conversational assistant, it generates automatic replies based on the instructions and context you configure. These replies are produced by third-party language models and may, in rare cases, contain errors, approximations or inaccurate information.

You remain solely responsible for configuring the assistant, periodically reviewing its replies, and the business consequences of its use, particularly toward your customers. GoDeals does not guarantee the accuracy, relevance or compliance of automatically generated content and disclaims liability for it, to the extent permitted by law.

8. Intellectual Property

The GoDeals platform, its source code, interface, brand and graphic elements are the exclusive property of GoDeals or its licensors and are protected by intellectual property law. Nothing in these Terms grants you any right over these elements, other than the right to use the Service as described herein.

9. Availability and Modification of the Service

We make reasonable efforts to ensure the availability of the Service, without however guaranteeing uninterrupted or error-free operation. Planned or unplanned interruptions may occur, in particular for maintenance, updates, or due to incidents affecting our technical providers (hosting, Meta, AI providers).

We may change, add or remove features of the Service at any time, for continuous improvement purposes, informing you when the change significantly affects your use.

10. Termination

You may cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period, without refund of amounts already paid.

We reserve the right to suspend or terminate your access to the Service, immediately and without notice, in the event of a serious breach of these Terms, non-payment, fraud, or any use that endangers the security of the Service or other users. Upon termination, your data will be retained and then deleted in accordance with our Privacy Policy and any deletion request you may submit.

11. Limitation of Liability

The Service is provided "as is" and "as available". To the fullest extent permitted by applicable law, GoDeals shall not be liable for indirect, incidental or consequential damages (loss of revenue, loss of customers, loss of data) arising from the use or inability to use the Service, including where such damages result from a Service interruption, an action taken by Meta on your WhatsApp account, or a reply generated by the AI assistant.

In all cases, GoDeals' total liability to you, regardless of cause, is limited to the amount actually paid by you for the Service during the twelve months preceding the event giving rise to liability.

12. Governing Law and Jurisdiction

These Terms are governed by Moroccan law. Any dispute relating to their interpretation or performance that could not be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Casablanca, Morocco.

13. Changes to These Terms

We may modify these Terms at any time. In the event of a substantial change, we will inform you by email or via a notification within the Service, with reasonable notice before it takes effect. Continued use of the Service after that date constitutes acceptance of the amended Terms.
